Buddy Tech US Limited Usage Policy

Buddy Tech US Limited and its affiliates (collectively, “Buddy”, “we”, “us”, or “our”) provides a technology-enabled product, including the offering branded as “Buddy” and the website at https://www.tradebuddy.io/ as well as other related subdomains, software, content, mobile applications, services and/or platforms, including all versions and upgrades thereto (collectively, the “Platform”). Your use of the Platform is subject to and governed by the terms and conditions in this Usage Policy (“Usage Policy”). Buddy may, at its discretion, update this Usage Policy at any time, and depending on where you reside, we may require your further consent to any updates to this Usage Policy. You can access and review the most current version of this Usage Policy at the URL for this page or by clicking on the “Usage Policy” link within the Platform or as otherwise made available by Buddy. Any undefined terms contained herein shall have the meaning assigned to them in the Buddy Tech US Limited Terms and Conditions (the “T&Cs”), which may be found at www.tradebuddy.io/legal/terms-and-conditions.

In order to use the Platform, enterprise entities, such as corporations, partnerships, or similar business entities (each, an “Enterprise”) have executed, or are in the process of executing, an Agreement with Buddy (“Enterprise Terms”). Unless explicitly stated otherwise therein, such Enterprise Terms incorporate and are subject to the terms of this Usage Policy. If you are an Authorized User of an Enterprise you must be familiar with any Enterprise Terms that apply to you. 

1. Your Content
   
   1. Responsibility for Content. 
      
      1. All Data is the sole responsibility of the party from whom such Data originated. You acknowledge and agree that: (A) the Platform may provide access to or rely on Data from third parties (including from Partners); (B) you, and not Buddy, are entirely responsible for your Content (if any), including ensuring the accuracy, completeness, and integrity of such Content; and (C) you are solely responsible for giving all required notices and obtaining all necessary consents, as applicable, before submitting Data to or through the Platform or Buddy. 
      2. You further hereby represent and warrant that: (A) you have and have obtained all necessary rights and licenses to provide, submit, upload, email, transmit, or otherwise make available all of your Content for Buddy to exercise its rights granted and fulfill its obligations set forth herein, including as necessary for Buddy to process your Content in accordance with this Usage Policy; and (B) that your submission of your Content to Buddy will not violate this Usage Policy, any Buddy usage guidelines or other policies, or any laws applicable to such your Content, including intellectual property laws and any privacy or data protection laws governing any personal or sensitive information.
   2. Prohibited Data. You shall not, without Buddy’s prior written consent, provide, submit, upload, email, transmit, or otherwise make available, whether directly or indirectly from you or through a Third Party Integration (defined below), any Data that is: (i) defined as sensitive personal information under applicable law; (ii)  related to an individual’s biometric information; (iii) covered under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, as may be amended from time to time, including the Health Information Technology for Economic and Clinical Health Act and similar laws; or (iv) related to a minor, as defined under applicable law ((i) through (iv), collectively, “Prohibited Data”).
2. Messaging and Communication
   
   1. Profiles and Reviews. We may host message boards, reviews, user profiles, or other similar features that are accessible to any or all users of the Platform (each, an “Public Feature”) for you to post or make available any information, comments, reviews, profiles, or Content. We reserve the right to collect, use, reproduce, display, or otherwise distribute any information, comments, reviews, or Content you post to make available through a Public Feature. All information or Data posted to or through a Public Feature may be available to Users in the Platform, and any engagement with or use of a Public Feature is at your own risk. 
   2. Off Platform Messaging Services. We may use WhatsApp, other off-platform messaging services, such as text or email (“Messaging Services”), or notifications to send automated or customized messages to you: (i) to communicate with you about your Account; (ii) to connect you with other users; or (iii) for other legitimate business purposes. You can unsubscribe from any and all Messaging Service communications or turn off notifications at any time by notifying us via the Platform or from within the Messaging Service, or by adjusting the settings on your device or the Messaging Service itself.
   3. User Violations. Should you have any concerns or believe that a user is violating this Usage Policy, please notify us at confidential@tradebuddy.io.
3. User Conduct and Restrictions
   
   1. Prohibited Conduct. In your use of the Platform, you will not: 
      
      1. use, reproduce, modify, adapt, create derivative works from, publicly perform, publicly display, distribute, make, have made use, sublicense, sell, lease, rent, assign, pledge, transfer or otherwise grant rights to the Platform, except as expressly permitted under this Usage Policy; 
      2. reverse engineer, disassemble, decompile, translate, or otherwise attempt to derive trade secrets, algorithms, or the source code, architectural framework, or data records, within or associated with the Platform; 
      3. interfere with or disrupt the integrity or performance of the Platform, including by disrupting the ability of any other person to use or enjoy the Platform; 
      4. provide use of the Platform on a service bureau, rental, or managed services basis, provide, or permit other individuals or entities to create Internet “links” to the Platform or “frame” or “mirror” the Platform on any other server, or wireless or Internet-based device; 
      5. access the Platform for the purpose of developing, marketing, selling, or distributing any Platform or service that competes with or includes features substantially similar to the Platform; 
      6. circumvent user or account authentication or security of our networks, accounts, or hosts or those of any third party;
      7. violate any applicable local, state, provincial, federal, or international law or regulation, or use the Platform for any illegal, unauthorized, or otherwise improper purposes;
      8. introduce to or store on our Platform any viruses or other malicious software code;
      9. access or use our Platform in any way that infringes on any person’s rights (including, but not limited to, intellectual property or privacy rights); 
      10. remove or obscure any proprietary notice that appears within the Platform;
      11. impersonate any person or entity, including Buddy personnel, or falsely state or otherwise misrepresent your affiliation with Buddy, or any other entity or person;
      12. forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Platform;
      13. take any action that imposes an unreasonable or disproportionately heavy load on the Platform or its infrastructure;
      14. attempt to access any data or log into any server or account that you are not expressly authorized to access;
      15. use spiders, crawlers, robots, scrapers, automated tools, or any other similar means to access the Platform; or
      16. download, reproduce, or archive any substantial portion of the Platform.
   2. Prohibited Content. You will not submit, upload, email, transmit, post, store, or otherwise make available, from directly or indirectly from you or through a Third Party Integration, any Data that: 
      
      1. is Prohibited Data;
      2. is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, hateful, discriminatory, libelous, invasive of another’s privacy, hateful, or otherwise objectionable; 
      3. may not be made available under any law or under contractual or fiduciary relationships (such as confidential or proprietary information learned as part of an employment relationship or under a non-disclosure agreement); 
      4. infringes, misappropriates, or otherwise violates any patent, trademark, trade secret, copyright, or other proprietary right of any person; 
      5. violates any person’s privacy, likeness, publicity, personality, or similar rights;
      6. consists of unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, commercial electronic messages, or any other form of solicitation; 
      7. contains software viruses or any other code, files or programs designed to interrupt, destroy, or limit the functionality of any software or hardware; or
      8. consists of information that you know or have reason to know is false or inaccurate.
   3. Enforcement. Buddy shall have sole discretion and control over: (i) moderating and removing any Data; and (ii) determining whether any Data violates this Usage Policy or any guidelines set forth by Buddy or otherwise. Buddy’s failure to enforce any of these restrictions or guidelines shall not act as a waiver for any future enforcement, will not be considered a breach of this Usage Policy by Buddy and does not create a private right of action for any other party.
   4. Reviews. All parties to a trade on our Platform are requested to provide a review following the completion of the trade. Any review you provide must be a fair and accurate representation of the trade. In addition to all rights under this Usage Policy or applicable Enterprise Terms, we reserve the right to remove any review that, in our discretion, is unsubstantiated or malicious.
